UK GVT Overseas Entities Register Fees

On Feb. 19, UK GVT issued rules fee rise re. overseas entities register.

  • UK GVT issued Registrar of Companies (Fees) (Register of Overseas Entities) Regulations 2024 (StIn 2024/153) so register of overseas entities fees can increase.
  • Fees which are payable to Companies House increase annually, from May 1, 2024.
  • Follows UK GVT Feb. 2024 amended registrar of companies fees rules, see #201524.
  • Purpose
  • Provide for fees charged in respect of Register of Overseas Entities to be increased.
  • The fees were previously set administratively by the Registrar of Companies, under Companies Act 2006, s. 1063(5) and in the Register of Overseas Entities Fees Determination made on Aug. 17, 2023 (fees determination), see #65285.
  • The Economic Crime and Corporate Transparency Act 2023 included amendments to the Companies Act 2006, section 1063, to provide for cost of investigative and enforcement activities which are to be taken into account when determining fees.
  • Fees in the schedule for delivery of documents or an application in hard copy form will only be payable where an exception to the duty to deliver documents by electronic means as set out in regulation 4 of the Register of Overseas Entities (Delivery, Protection and Trust Services) Regulations 2022 (StIn 2022/870) is applicable.
  • New fees in regulation 3 and related schedule are subject to transitional provisions.
  • Effectiveness
  • These regulations are in force from May 1, 2024.
