On May 12, 2025, Cboe EU, following consultation, made minor enhancements to rules and confirmed the new Cboe Europe Rules for Issuers and the amended rulebooks.
Amended rulebooks are the Cboe Europe Recognized Investment Exchange Rule Book (for its UK exchange) and the Cboe NL Rule Book (for its Netherlands exchange).
The changes will be implemented to take effect from Jun. 2, 2025.
On Dec. 11, Cboe EU outlined issuer rules/UK, NLD rule book updates.
Cboe EU issued notice on introduction of new Rules for issuers and resulting changes to the existing rule books for the Cboe Europe UK and Netherlands regulated markets.
Follows Cboe EU Oct. 2024, issued UK rule book, participant manual, see #230408.
Summary
New stand-alone rule book are for issuers of securities admitted/seeking admission to Cboe EU regulated markets in the UK and/or NLD, ahead of expansion of existing primary market offering for issuers of ETFs and ETPs to include corporate issuers.
Replace issuer requirements in existing rule books for regulated markets: Recognized investment exchange rule book (for UK) NL rule book (for NLD regulated market).
Chapters removed from UK rules/replaced by Rules for Issuers are: 20; 21; 22; 23; 24; chapters to be removed from the NL rule book are: 2.8; 2.9; 2.10; 2.11; 2.12.
Many new Rules for issuers requirements are specific to firms issuing equity securities.
