On Jul. 5, 2025, DEN GVT published Executive Order on registration of and access to information about owners in the Danish Business Authority (BEK 987).
Together with Executive Order amending the Executive Order on the Central Business Register and data.virk.dk (BEK 988).
Both orders enter into force Sep. 1, 2025.
On Feb. 6, DEN CRG consulted on draft orders on registration, register.
Proposes to continue provisions on the registration of legal and beneficial owners.
But provisions on mutual companies and cross-sector pension funds will be amended as a result of separation into Insurance Business Act in 2023.
Requirements for registration of beneficial owners implement AMLD 4 and 5 rules.
Order proposes access to information on beneficial owners will be limited to competent authorities, obliged entities and persons with a legitimate interest.
Implements parts of AMLD 6 to comply with EU judgment in joined cases C-37/20, C-601/20 re which access to beneficial owners data for general public declared invalid.
S44-59 of Order propose rules on access to information on beneficial owners, including who are competent authorities, obligated entities or persons with a legitimate interest.
S51-55 propose how access to beneficial ownership data is obtained, also information applicant must provide when requesting access and the possibility of data disclosure.
S59 also proposes unauthorized disclosure may result in a fine; S56 covers information must appear in register that beneficial owners can obtain from persons with legitimate interest who were granted access to information on beneficial owner.
Also aims to introduce S57-58 regarding the basis for DEN CRG to refuse, revoke or end access to information about beneficial owners.
Executive Order on the Central Business Register
Executive Order on Central Business Register and data.virk.dk lays down provisions on access to basic data on legal entities, including publication of beneficial owners data.
In draft order amending it consequential changes are proposed as a result of proposed limited access to information on beneficial owners; it is assessed implementation does not conflict with 5 principles for implementation of business-oriented EU regulation.
DEN CRG's Better Regulation Area assessed the drafts do not entail new administrative consequences for the business community that go beyond the framework legislation.
Proposed law amending Act on Central Business Register, Companies Act, various other (Amendment of access to information on beneficial owners as result of AMLD 6) will be brought into force by order as result of adjustments to DEN CRG's IT solution.
Owner Registration Executive Order and Executive Order amending Order on Central Business Register, data.virk.dk will enter in force at same time as proposed law does.
