Purpose
The bill transposes the provisions of Dir 2024/2810 regarding multiple voting shares in companies seeking to admit their shares to trading on a multilateral trading facility.
It is proposed that ordinary multi-voting shares issued by a company would grant the number of votes specified in the company's articles of association; multiple voting shares may be issued by a company, except for a public limited company whose shares are admitted to trading, an SME growth market or on a multilateral trading facility.
When issuing new company shares, increasing the company's authorized capital or converting already issued company shares, amendments to the company's articles of association must be approved, indicating the changed amount of the capital.
The number of shares, their number by class, nominal value and the rights granted.
Effectiveness
The law is planned to enter into force on Nov. 1, 2026.
