IND CDSL reminded registrar and transfer agents (RTAs) that they must conduct internal audits of depository operations every six months by a qualified professional and submit signed reports to IND CDSL.

Submission Requirements
A duly signed internal audit report (IAR) must be furnished to the depository, covering scope, objectives, mandatory contents, and the checklist provided in annexure-A, applicable for the half year ending Sep. 30, 2025.
IAR must be submitted online by Nov. 15, 2025; late submissions will attract penalties.
Physical submissions will not be accepted and will be treated as non-submission.
Newly activated RTAs must submit audit reports covering their operations from activation to Sep. 30, 2025; audit findings, along with management comments, must be presented to the RTA’s board of directors.
At least one auditor must hold NISM Series IIA certification; reports without this will be considered invalid; auditors must verify the proper implementation of the online dispute resolution (ODR) mechanism and related website compliances.
RTAs must inform their internal auditors of these requirements and ensure strict compliance.
Effectiveness
Circular applicable for the half-year ended Sep. 30, 2025; IAR must be submitted online by Nov. 15, 2025.
