On May 14, UK GVT published limited liability partnership regulations.
UK GVT published The companies and limited liability partnerships (annotation) regulations 2025 (StIn 2025/573), with an explanatory memorandum.
Follows UK GVT Dec. 2020 issued corporate transparency consultations, see #92969.
Purpose
Provides for instances where the registrar of companies either can/must annotate info on registers of information maintained pursuant to s. 1080 of Companies act 2006.
Extending the registrar’s ability to annotate specific register entries furthers those aims and enhances the value of information available to users of the register.
Previously, register could only be annotated where, in the registrar’s view, information (or the absence of information) could be construed as confusing or misleading.
New policy allows registrar to annotate to include helpful, additional information which will provide users with improved insight into certain aspects of companies, limited liability partnerships and officers (directors, partners, persons of significant control).
Effectiveness
Regulations come into force on Jun. 9, 2025, except for regulations 5 and 7(e), which come into force at the same time as section 790LA of Companies act 2006.
