FINRA issued Regulatory Notice 24-14 on 2025 broker-dealer, investment adviser representative, agent and investment adviser representative, and branch renewals.
Preliminary Statements
On Nov. 11, 2024, preliminary statements available for viewing and printing on E-bill.
Include applicable renewal fees for B/D, IA registrations through CRD, IARD program.
Some jurisdictions may require complete other requirements in addition to payment of renewal fees to complete renewal process; should contact each jurisdiction directly.
Post-Dated Form Filings
Can submit post-dated termination filings before preliminary statements published.
Post-dated termination filings permit firms indicate before year-end terminating one or more registrations on Dec. 31, 2024; avoid paying fees for specific registrations.
Exercise care when submitting; FINRA cannot withdraw post-dated termination filing.
If submit post-dated termination filing in error, will have to file new Form U4, BD, BR or ADV when CRD/IARD resumes normal processing Jan. 2, 2025, assess new fees.
After submitting a termination filing, firms should review individual, branch and firm registrations to ensure that the termination request is reflected in CRD/IARD.
Renewal Reports
Request, download, print in CRD/IARD when preliminary statements become available.
Reports replaced with final statement reports on Jan. 2, 2025, FINRA cannot recreate.
FINRA must receive full payment of preliminary statement fees by Dec. 9, 2024; if not receive payment by Dec. 9, FINRA will assess a late fee for FINRA-registered firms.
Renewal Fees & Payment Methods
May pay electronically through E-Bill, send wire transfer or mail check; recommends remit funds via E-Bill; all electronic payments, overnight checks, transfers by Dec. 5.
Payment deadline is Dec. 9, 2024; if FINRA does not receive payment by Dec. 26, 2024, firms risk becoming ineligible to do business where registrations not renewed.
Dec. 26, 2024, also the deadline to submit any electronic form filings in CRD/IARD, Web EFT, FINRA Gateway, including Forms BDW, Forms U5 and Form BR Withdrawals.
Final Statements
On Jan. 2, 2025, FINRA makes available all final statements in E-Bill; statement reflects status of registrations, exempt reporting, or notice filings as of Dec. 31, 2024.
Fees owed because of registration terminations, approvals, notice filings, transitions after preliminary statement appear on final statement, need to satisfy amount owed.
Must receive full payment of final statement fees, discrepancy report by Jan. 24, 2025.
Firms have until Jan. 24, 2025, to report any discrepancies on final statement and corresponding renewal reports; this is also the deadline for receipt of final payment.
