Bill Provisions
Required entities filing pre-merger notification under the Hart-Scott-Rodino Act to also file pre-merger notification with the Attorney General under certain circumstances.
Certain circumstances include if the person’s principal place of business is in Colorado.
Or if person or person it controls directly or indirectly had annual net sales in the state of goods or services involved in the transaction of at least 20% of filing threshold.
Required attorney general to keep filed form and documentary materials confidential.
Further authorized the attorney general to impose a civil penalty of not more than $10,000 per day on any person that fails to comply with the filing requirement.
