  • Required entities filing pre-merger notification under the Hart-Scott-Rodino Act to also file pre-merger notification with the Attorney General under certain circumstances.

  • Or if person or person it controls directly or indirectly had annual net sales in the state of goods or services involved in the transaction of at least 20% of filing threshold.
  • Required attorney general to keep filed form and documentary materials confidential.
  • Further authorized the attorney general to impose a civil penalty of not more than $10,000 per day on any person that fails to comply with the filing requirement.
