Thai SEC New Shares to Directors

  • Amendments
  • Added the definition of a live exchange company which refers to a public limited company whose shares are listed on the stock exchange.
  • Specifies that the number of shares offered by the company to directors/staff, when combined with number of shares allocated to related persons and benefactors, must not exceed 25% of total shares offered under specified calculation method.
  • Include in case of a company under clause 3(3) or (4) offering newly issued shares to directors or employees at the same time as the first public offering of shares.
  • Plus if a live exchange company offering newly issued shares to directors or employees at the same time as the offering of shares for the registration of the company's shares as listed securities on Thai SET or the market for alternative investment (MAI).
  • Effectiveness
  • The amendments will be effective from Jan. 16, 2025.
